By accessing and using Cogment ("the Service"), provided by Cogment Inc. ("we," "us," or "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

Cogment is an AI-powered code intelligence platform that provides semantic code analysis, search capabilities, and team collaboration features. The Service includes:

• Command-line interface (CLI) tools
• Web-based dashboard and analytics
• IDE integrations and extensions
• API access for custom integrations
• Team management and collaboration features

3. User Registration and Accounts

To access certain features of the Service, you must register for an account. You agree to:

• Maintain the security of your password and account

Code Processing: By default, all code analysis happens locally on your machine. Optional cloud features are clearly marked and require explicit consent.

6. Subscription and Payment

Certain features of the Service require payment of fees. You agree to pay all applicable fees as described on our pricing page. All fees are non-refundable except as required by law or as specifically stated in these Terms.

7. Intellectual Property

Your Content: You retain all rights to your code and content. You grant us a limited license to process your content solely to provide the Service.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

IN NO EVENT SHALL COGMENT INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA, OR USE, INCURRED BY YOU OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT OR TORT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including your breach of these Terms. Upon termination, your right to use the Service will cease immediately.

11. Governing Law

These Terms shall be interpreted and governed by the laws of the State of Delaware, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Delaware.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
